B2B Terms and Conditions

Swiss Dental Wellness – Zurich

1. Scope

These B2B Terms and Conditions apply to business relationships and orders between Swiss Dental Wellness Inh. Luciani and companies, self-employed professionals, professional practitioners or other business partners purchasing products for purposes relating to their trade, business or profession.

They apply in particular to orders placed through a business customer account approved by Swiss Dental Wellness or to transactions expressly agreed as B2B business.

They do not apply where the purchaser is acting as a consumer for private purposes. Such orders are subject to the applicable B2C terms of Swiss Dental Wellness.

Any differing terms submitted by the B2B partner apply only where Swiss Dental Wellness has expressly agreed to them in text form.

3. B2B application, review and approval

Access to the B2B Wholesale Program is subject to review and express approval by Swiss Dental Wellness. Submitting a B2B application does not create any entitlement to admission to the program or to specific prices, product ranges or commercial terms.

The B2B partner must provide complete and accurate business and contact information when applying and throughout the business relationship, and must promptly notify Swiss Dental Wellness of any material changes.

Swiss Dental Wellness may reject a B2B application for legitimate business reasons or restrict or terminate existing B2B access, including in cases of inaccurate information, payment problems, misuse, material contractual breaches or where the requirements for professional cooperation are no longer met.


4. Business customer account

Login credentials for a business customer account must be kept confidential. The B2B partner is responsible for ensuring that only duly authorised persons use the account for business orders.

Orders placed through the business account are generally deemed to have been submitted on behalf of the registered company unless unauthorised use is clearly apparent to Swiss Dental Wellness.


5. Offers and conclusion of contract

Product displays, B2B price lists and products shown in the business account generally constitute an invitation to place an order.

By submitting an order, the B2B partner makes a binding offer to purchase the selected products.

An automatically generated order or payment acknowledgement does not, by itself, constitute acceptance unless expressly stated otherwise.

The contract is concluded when Swiss Dental Wellness expressly accepts the order, issues a shipping confirmation or otherwise clearly confirms acceptance.

Swiss Dental Wellness may reject or cancel an order before acceptance for legitimate reasons, including lack of availability, obvious pricing or system errors, failure to meet the applicable minimum order value, failed payment or reasonable suspicion of fraud or misuse.


6. B2B prices, purchasing terms and minimum order values

For OH Tea products available through the B2B Wholesale Program, the applicable prices are those displayed in the relevant business customer account, at checkout, in an individual quotation or in an expressly agreed B2B price list.

The current standard entry-level B2B condition generally corresponds to a 35% reduction from the regular B2C reference retail price of the relevant OH Tea product approved for the B2B Wholesale Program, unless different terms are expressly displayed or agreed for a particular product, business account or order.

B2B pricing applies exclusively to products approved for the OH Tea B2B Wholesale Program. It does not automatically apply to other products in the Swiss Dental Wellness range.

B2C discounts, vouchers, promotional prices, campaigns and other consumer offers are generally not cumulative with B2B pricing unless Swiss Dental Wellness expressly provides otherwise.

Following an individual commercial assessment, Swiss Dental Wellness may grant selected B2B partners different or more favourable B2B terms. The assessment may take into account factors including order history, order volume, payment behaviour, continuity of the business relationship and other commercially relevant circumstances.

Any improved or individual terms are granted solely at the discretion of Swiss Dental Wellness and do not create an entitlement to any particular discount level or to comparable terms for future orders.

In all cases, the B2B price displayed in the business account, at checkout or expressly agreed in an accepted quotation at the time of the relevant order is decisive.

Swiss Dental Wellness may change B2B prices and purchasing terms for future orders. Orders that have already been expressly accepted remain unaffected.

The current B2B minimum order values are:

  • Switzerland & Liechtenstein: CHF 150
  • European Union: EUR 150
  • United Kingdom: GBP 150

The minimum order value is generally calculated on the value of products qualifying for the B2B Wholesale Program after application of the B2B prices applicable to the business account and excludes shipping charges, customs duties, import charges and other ancillary costs.

Swiss Dental Wellness may adjust minimum order values for future orders. The minimum displayed or expressly agreed when the relevant order is placed will apply.


7. Taxes, customs and import costs

Whether and to what extent prices include taxes is shown in the business account, checkout, quotation or invoice. The total amount stated for the relevant order is decisive.

Cross-border B2B deliveries may be subject to import VAT, customs duties, customs clearance charges, carrier handling fees or other import costs.

Unless expressly shown as included, prepaid or collected by Swiss Dental Wellness, such amounts are borne by the B2B partner or recipient and may be payable directly to authorities, carriers or other responsible parties.


8. Shipping and delivery

B2B orders are subject to our B2B Shipping Terms.

B2B shipping charges are generally added to the value of the goods. Free-shipping thresholds offered to private customers do not apply to B2B orders unless expressly shown at checkout, stated in a quotation or individually agreed.


9. Payment and invoicing terms

B2B orders must generally be paid using the immediate payment methods available for the relevant business customer account and order unless Swiss Dental Wellness has expressly approved different payment terms.

The payment method displayed for the relevant order in the business account or at checkout, or confirmed in an individual agreement, will apply.

Following an individual commercial assessment, Swiss Dental Wellness may grant selected B2B partners the option of payment on invoice with a payment term of up to 30 days.

Such approval is granted solely at the discretion of Swiss Dental Wellness. The assessment may take into account the existing business relationship, order history, order volume, payment behaviour and other commercially relevant circumstances.

Completion or payment of any particular number of previous orders does not create any entitlement to payment on invoice, a 30-day payment term or any other special payment conditions.

Swiss Dental Wellness is not required to disclose the reasons for granting or declining particular payment terms unless required to do so by law.

Approved payment or credit terms for future orders may be subject to individual monetary or credit limits and may be adjusted, temporarily suspended or withdrawn. Orders already expressly accepted and the payment periods agreed for those orders generally remain unaffected.

Invoices must be paid within the stated payment period without unauthorised deductions.

In the event of late payment, Swiss Dental Wellness may, to the extent permitted by law, charge default interest and reasonable reminder and collection costs and may suspend further orders or deliveries until outstanding amounts have been paid or require advance payment.


10. Retention of title

To the extent permitted by law, goods remain the property of Swiss Dental Wellness until all amounts due for the relevant order have been paid in full.


11. Inspection and claims

The B2B partner must inspect delivered goods promptly in the ordinary course of business for visible damage, shortages, incorrect products and other apparent defects.

Any defect or discrepancy identified must be reported to Swiss Dental Wellness without undue delay after discovery. Latent defects must likewise be reported promptly once discovered.

Where possible, transport damage should be documented at delivery and noted with the carrier.

12. Returns and no general B2B cancellation right

Swiss Dental Wellness does not grant a general voluntary 14-day return or cancellation right for B2B orders.

Returns of non-defective goods require prior express approval from Swiss Dental Wellness. Any mandatory legal rights and rights relating to defective, damaged, incomplete or incorrectly supplied goods remain unaffected.


13. Resale and independent business activity

The B2B partner purchases products for its own account and inventory and acts as a legally and commercially independent business when reselling them.

The B2B relationship does not create a partnership, representation, franchise, agency, consignment, employment or similar relationship unless expressly agreed otherwise in writing.

The B2B partner independently determines its resale prices and is responsible for its own distribution, tax and business activities.


14. Brand presentation, product information and compliant distribution

The B2B partner is responsible for complying with all legal and regulatory requirements applicable to its activities and sales markets.

Products, packaging, mandatory information, batch markings and other legally required information must not be removed, altered or misrepresented without appropriate authorisation and legal basis.

Product-related or health-related claims may only be used where legally permissible. Swiss Dental Wellness is not responsible for advertising claims independently created, modified or used without approval by the B2B partner.

Trademarks, logos, product images and other protected materials may only be used within the agreed or legally permitted scope.


15. Warranty and liability

Valid defect claims are governed by applicable law and these B2B Terms. Where legally permitted, Swiss Dental Wellness may provide an appropriate remedy, including replacement, repair, credit, price reduction or refund.

To the extent permitted by law, Swiss Dental Wellness is not liable for indirect or consequential losses or loss of profit not resulting from intentional misconduct or gross negligence.

No limitation applies where liability is mandatory or exclusion is prohibited by law.


16. Force majeure

To the extent permitted by law, Swiss Dental Wellness is not liable for delays or failure to perform caused by circumstances outside its reasonable control, including natural events, governmental action, strikes, transport or customs disruption, supply-chain interruptions or failure of essential IT or communication systems.


17. Privacy

Information on personal data processed in connection with B2B applications and business relationships is available in our combined B2C and B2B Privacy Policy.


18. Relationship with other B2B terms

These Terms are supplemented in particular by our B2B Shipping Terms and our B2B Returns, Claims and Refund Terms.

Individual written agreements or expressly accepted quotations prevail for matters specifically covered by them.


19. Changes

Swiss Dental Wellness may amend these Terms for future orders. Contracts already concluded are generally governed by the version agreed at the time of contract formation.


20. Applicable law and jurisdiction

Swiss law applies, excluding conflict-of-law referrals to the extent permitted.

The courts of Zurich, Switzerland, have exclusive jurisdiction to the extent legally permissible. Mandatory jurisdiction rules remain unaffected.


21. Language versions

These B2B Terms may be provided in several languages. The versions are intended to have the same substantive meaning. In the event of an unintended discrepancy, the German version will prevail to the extent legally permissible.
